Terms of Service

1. Agreement to Terms

By accessing or using DM Tracker ("Service"), you ("you" or "Customer") agree to be bound by these Terms and any referenced policies. If you don't agree, do not use the Service.

2. Definitions

• "Organization" means a workspace connected to a single Instagram Business or Creator account.
• "User" means any person authorized to access an Organization, including Owners, Admins, and Team Members.
• "Contact" means any Instagram user whose messages or interactions are tracked through the Service.
• "Instagram API Connection" means the method where you authorize DM Tracker to access your Instagram account through Meta's OAuth flow, allowing us to read and send messages on your behalf.
• "ManyChat Integration" means an alternative connection method where you authorize DM Tracker to receive data via your ManyChat account and automation template.
• "Webhook" means a secure data transmission from Instagram (via Meta) or ManyChat into DM Tracker.
• "Follow-Up Stage" means a time-based step in your outreach cadence configured by an Organization Owner or Admin.
• "Card" means a visual representation of a lead in the Kanban pipeline.
• "Open", "Sent", and "Finished" are tabs within the Kanban board showing the current follow-up status of a Contact.

3. Use of the Service

We grant you a non-exclusive, non-transferable license to use DM Tracker for your internal business purposes. You may not resell or sublicense the Service. We reserve the right to impose usage limits or enforce fair use policies to prevent abuse.

4. Account Eligibility

You represent that you're at least the age of majority in your jurisdiction and have authority to bind the organization. You must not misrepresent your identity or impersonate another party.

5. Prohibited Activities

You agree not to:

• Violate Instagram, Meta, or ManyChat policies
• Send spam, unsolicited bulk messages, or harassing content through the Service
• Use the Service to send automated messages that violate Meta's messaging policies
• Transmit viruses, malware, or unauthorized bots
• Reverse engineer or copy DM Tracker
• Use the Service for illegal or harmful purposes
• Attempt to access another organization's data
• Share your access tokens or credentials with unauthorized parties

6. Instagram API Connection

DM Tracker connects to your Instagram account through Meta's official Instagram API:

• You authorize the connection by logging in with your Instagram Business or Creator account through Meta's OAuth flow.
• DM Tracker requests only the permissions needed to provide its features: basic profile info, messaging, and human agent support.
• Once connected, DM Tracker can read your Instagram DM conversations, send messages on your behalf, and receive new messages in real time.
• Your Instagram access token is encrypted and stored securely. It is never shared with third parties.
• You can disconnect your Instagram account at any time from Settings > Connections.
• You must maintain a valid Instagram Business or Creator account for the connection to work.
• You are responsible for complying with Instagram's and Meta's terms of service and community guidelines when using the Service.

Messaging Rules

• Within 24 hours of a contact's last message: both automated replies (via API endpoints) and manual replies from team members are allowed under Meta's standard messaging policy.
• After 24 hours, up to 7 days: only human agents can reply through the DM Tracker interface, using Meta's human_agent message tag. No automated messages are sent after the 24-hour window.
• After 7 days: replies are no longer possible using DM Tracker. DM Tracker shows a clear notification when this limit is reached.

7. ManyChat Integration

DM Tracker also supports a ManyChat-based connection:

• You connect your Instagram business account via ManyChat.
• You install our automation template and fill in the organization ID and auth token.
• You must set the default reply flow to trigger messages "every time" (not once per 24 hours).
• DM Tracker processes webhooks only from these templates.
• You agree to maintain your ManyChat account and permissions in good standing.

8. Fees and Billing

DM Tracker is offered on a subscription basis. Payment terms, billing frequency, and feature access depend on the plan you select at signup.

• Pricing is available on our official Pricing page and may be updated at any time. We will make reasonable efforts to notify active subscribers of material changes in advance.
• All fees are billed in advance and are non-refundable, including in cases of partial use, early termination, or downgrades during a billing cycle.
• Subscriptions auto-renew at the end of each billing cycle unless canceled before the renewal date.
• You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing cycle.

9. Termination

Either party may terminate the account at any time. We may also suspend your access if you breach these Terms. Obligations that existed before termination survive, including liability and confidentiality clauses. No refunds will be issued for any unused portion of a subscription term upon termination.

10. Data Processing and Privacy

DM Tracker processes contact and message data to provide CRM and pipeline features. We comply with GDPR, CCPA, and other applicable data protection laws.

Our Privacy Policy explains in detail how we collect, use, store, and protect your personal data, including Instagram data accessed through Meta's API.

When you disconnect your Instagram account or delete your organization, we delete the associated data as described in our Privacy Policy.

11. Intellectual Property

All software, dashboards, UX/UI, design, analytics models, trademarks, and branding remain our sole property. Users may not copy, distribute, or reverse engineer any aspect of DM Tracker.

12. Feedback

Any feedback you provide may be used by us (anonymized or aggregated) with your consent to improve the Service. You grant us a perpetual, royalty-free license to use such feedback.

13. Warranty Disclaimer

The Service is provided "as is." We disclaim all warranties. We do not guarantee that features like pipeline updates, message syncing, metrics, or uptime will be uninterrupted or error-free.

The Service depends on external APIs from Meta, Instagram, and ManyChat. Delays or outages in those services are outside our control. We do not guarantee any specific uptime, message delivery speed, or sync frequency.

14. Instagram and Meta Disclaimer

DM Tracker is an independent software service. We are not affiliated with, endorsed by, or sponsored by Instagram, Meta Platforms, Inc., or any of its subsidiaries.

The Instagram name and logo are trademarks of Meta Platforms, Inc. Any use of these marks is for descriptive purposes only to indicate compatibility with Instagram's platform.

Your use of the Instagram API through DM Tracker is subject to Meta's Platform Terms and Policies in addition to these Terms.

15. Limitation of Liability

To the maximum extent allowed by law, we are not liable for any indirect, incidental, special, or consequential damages, or lost profits, arising from your use of DM Tracker.

16. Indemnification

You agree to indemnify and hold us harmless from claims arising from your breach of these Terms, violation of third-party policies (including Meta's and Instagram's), or misuse of DM Tracker.

17. Modifications to Service and Terms

• We may modify or discontinue parts of the Service at our discretion.
• We can update these Terms by posting a new version. Continued use after changes means you accept them.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

Binding Arbitration. Any dispute arising from these Terms or your use of the Service will be resolved by binding arbitration through the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration takes place in Cheyenne, Wyoming, unless both parties agree to another location.

Class Action Waiver. You agree that any arbitration will be conducted only on an individual basis, not as a class, consolidated, or representative action. You waive any right to participate in a class action.

Injunctive Relief. Either party may seek injunctive or equitable relief in court for claims related to intellectual property or unauthorized access.

Jurisdiction. For disputes not subject to arbitration, you agree to the jurisdiction of the state and federal courts in Laramie County, Wyoming.

19. Third-Party Links and Services

We are not responsible for third-party services (Meta, Instagram, ManyChat, payment processors). Their own terms and policies govern your use of those platforms.

20. No Rights for Third Parties

These Terms benefit only you and DM Tracker. No other party is a beneficiary.

22. Entire Agreement

These Terms, along with our Privacy Policy and any applicable Data Processing Addendum, make up the entire agreement between you and DM Tracker, LLC regarding the Service and replace any prior agreements.
